If you do not agree with any part of these terms, you must discontinue use of our services immediately. Your continued use signifies your acceptance of any amendments or modifications we may make to these terms.

User Obligations and Conduct

1. Compliance with Laws

You agree to comply with all applicable local, state, national, and international laws and regulations in connection with your use of our services. This includes but is not limited to laws governing consumer protection, data privacy, and intellectual property.

2. Accurate Information

You are responsible for providing accurate, current, and complete information when creating accounts, placing orders, or communicating with us. Providing false or misleading information may result in suspension or termination of your access to our services.

3. Prohibited Activities

You expressly agree not to:

• Engage in any fraudulent, abusive, or illegal activity
• Violate the rights of others, including privacy and intellectual property rights

Product Information and Orders

Product Descriptions

We strive to provide accurate descriptions of our coffee products. However, we do not warrant that product descriptions, images, or other content are completely accurate, current, or error-free. Coffee characteristics may vary based on harvest and roasting conditions.

Order Acceptance

Receipt of an order confirmation does not constitute our acceptance of your order. We reserve the right to refuse or cancel any order for any reason, including product availability, errors in pricing or product information, or suspected fraudulent transactions.

Pricing and Payment

All prices are stated in USD and are subject to change without notice. We reserve the right to correct pricing errors even after an order has been placed. Payment is due at the time of order placement unless otherwise agreed.

Delivery and Risk of Loss

We will arrange for shipment of ordered products to you. Title and risk of loss pass to you upon our delivery to the carrier. Delivery times are estimates and we are not liable for delays caused by carriers or circumstances beyond our control.

Warranties and Disclaimers

Limited Warranty

We warrant that our coffee products will be free from material defects for a period of 30 days from the date of delivery. This warranty does not cover issues arising from improper storage, handling, or use after delivery.

Disclaimer of Other Warranties

Except for the limited warranty stated above, our products and services are provided "as is" without any other warranties, express or implied, including but not limited to:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement of third-party rights
• Warranties arising from course of dealing or usage of trade

No Guarantees

We do not guarantee that our services will meet your expectations or that any errors in our services will be corrected. Coffee taste preferences are subjective, and we make no warranties regarding your personal satisfaction with flavor profiles.

Limitation of Liability

General Limitations

To the maximum extent permitted by law, Ember Roast and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption or loss of goodwill
• Any damages arising from unauthorized access to or use of our systems

Maximum Liability Cap

Our total aggregate liability for any claims arising from or related to these terms or our services shall not exceed the total amount you paid to us in the twelve months preceding the claim, or $100 USD, whichever is greater.

Exceptions

Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded or limited under applicable law.

Indemnification Obligations

You agree to defend, indemnify, and hold harmless Ember Roast, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

• Your use or misuse of our services
• Your violation of these Terms and Conditions
• Your violation of any third-party rights
• Any content you submit through our services

Governing Law and Jurisdiction

Applicable Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Ember Roast is registered, without giving effect to any principles of conflicts of law.

Jurisdiction and Venue

Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in the jurisdiction where Ember Roast operates, and you hereby consent to personal jurisdiction and venue in such courts.

Dispute Resolution Process

Before initiating any legal proceedings, you agree to first contact us to attempt to resolve the dispute informally. We are committed to working with you in good faith to reach a mutually acceptable resolution.

Arbitration Agreement

If informal resolution fails, any disputes shall be resolved through binding arbitration conducted by a recognized arbitration association, rather than through court proceedings, except where prohibited by law.

Termination and Suspension

Termination by Us

We reserve the right to suspend or terminate your access to our services immediately, without prior notice, if you breach these Terms and Conditions or engage in conduct that we deem inappropriate or harmful.

Termination by You

You may terminate your relationship with us at any time by discontinuing use of our services and canceling any active subscriptions.

Effects of Termination

Upon termination, your right to use our services ceases immediately. Provisions of these terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Force Majeure

Ember Roast shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, supply chain disruptions, government actions, or technical failures. During such events, our obligations shall be suspended for the duration of the event.

General Provisions

Severability

If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent permitted by law.

Waiver

Our failure to enforce any right or provision in these terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

Assignment

Entire Agreement
